Welcome to AppointEase! These Terms of Service ("Terms") govern your use of the AppointEase website, services, and applications (collectively, the "Service") provided by NetHive Technologies ("AppointEase", "we", "us", or "our"), a company registered in the United Kingdom.

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

AppointEase provides an online platform designed to simplify appointment scheduling and calendar management for professionals and their clients. Features include, but are not limited to, a public-facing calendar for bookings, automated reminders, a user dashboard for managing appointments, and potential integrations with third-party calendars (collectively, the "Service").

Certain features of the Service may be provided free of charge, while others may require payment ("Paid Services"). If you choose to subscribe to a Paid Service, you agree to pay the fees advertised for that Service. All fees are quoted in GBP (£) unless otherwise stated and are inclusive of VAT where applicable.

We reserve the right to change our fees at any time. We will provide you with reasonable prior notice of any change in fees. Your continued use of the Paid Services after the fee change comes into effect constitutes your agreement to pay the modified fee amount.

Payments will be processed through a third-party payment processor. Your use of their services will be subject to their terms and conditions.

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by AppointEase, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as incidentally necessary to use the Service.

User Content: You (Service Providers) retain all ownership rights to the content you submit to the Service (e.g., client information, appointment details – "User Content"). By submitting User Content, you grant AppointEase a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in connection with operating and providing the Service to you and your clients.

7. Data Protection and Privacy

We are committed to protecting your privacy. Our Privacy Policy explains how we collect, use, and share your personal information and that of your clients when you use our Service. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

Service Providers using AppointEase are Data Controllers for the personal data of their clients processed through the Service. AppointEase acts as a Data Processor on behalf of the Service Provider for this data. Both parties agree to comply with their respective obligations under applicable UK data protection laws.

8. Third-Party Services and Integrations

The Service may allow you to connect with or use third-party services or integrations (e.g., Google Calendar, etc). Your use of any third-party service is subject to the terms and conditions and privacy policies of that third party. AppointEase is not responsible for and makes no warranties regarding third-party services.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. APPOINTEASE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

APPOINTEASE DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. WE ARE NOT RESPONSIBLE FOR ANY DISPUTES, ISSUES, OR DAMAGES ARISING FROM THE INTERACTIONS BETWEEN SERVICE PROVIDERS AND THEIR CLIENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL APPOINTEASE, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US FOR THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE EVENTS GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

THIS DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, SUCH AS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, OR FOR FRAUD OR FRAUDULENT MISREPRESENTATION.

11. Indemnification

You agree to defend, indemnify, and hold harmless AppointEase, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

These Terms will remain in full force and effect while you use the Service. We may suspend or terminate your access to the Service at any time, for any reason (including for violation of these Terms), in our sole discretion without prior notice or liability.

You may terminate your account at any time by following the instructions within the Service or by contacting us. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

These Terms and our Privacy Policy constitute the sole and entire agreement between you and AppointEase regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
